Waiver of consequential and indirect damages

Cap on total and direct liability

To the maximum extent permitted by applicable law, the total aggregate liability of Tiedrich Global Strategies, LLC, its members, managers, employees, shareholders, contractors, and agents for all claims, losses, causes of action, or damages of any kind (including direct damages) arising out of or relating to these Terms or the Site shall not exceed fifty-five U.S. dollars ($55.00).

8Indemnification

You agree to defend, indemnify, and hold harmless Tiedrich Global Strategies, LLC, its members, managers, employees, shareholders, contractors, and agents from and against any claims, actions, suits, demands, liabilities, damages, judgments, settlements, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

9Time Limitation on Claims

To the fullest extent permitted by applicable law, any claim, cause of action, suit, or proceeding you may have (or you may allege to have) arising out of, concerning, or relating to these Terms or the Site must be commenced by you within one (1) year (twelve months) after the cause of action accrues (or within one year after the date on which the underlying act, omission, or event giving rise to the claim first occurred). If such a claim or cause of action is not commenced within such one-year period, it shall be permanently and irrevocably barred.

10Governing Law and Jurisdiction

• Governing Law: These Terms, and all claims, disputes, or controversies arising out of or relating to these Terms or your use of the Site, shall be governed by and construed in accordance with the laws of the District of Columbia, United States of America, without regard to its conflict of law principles.
• Exclusive Jurisdiction and Venue: Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the local or federal courts located within the District of Columbia. You irrevocably submit to the personal jurisdiction and venue of such courts and waive any objection based on improper venue or inconvenient forum.
• Waiver of Jury Trial and Class Actions: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO WAIVE ANY RIGHT TO A TRIAL BY JURY. YOU FURTHER AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11Modifications to Terms

Any changes will become effective immediately upon posting to the Site, with the updated date reflected at the top of these Terms.
